1. Acceptance of Terms

Welcome to Worktrail. By accessing or using our website, mobile application, or any services we provide (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and Worktrail. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Description of Service

Worktrail is a career-tracking platform that enables individuals to document their professional accomplishments, work diary entries, and career progress. The Service also allows employers, managers, and recruiters to discover candidates based on verified work history, subject to user-controlled visibility settings.

3. Account Registration

To use certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. By registering, you represent that you meet this age requirement.

4. Permitted Use

You may use the Service for its intended purposes: tracking your professional accomplishments, documenting work activities, building your career profile, and connecting with employers or team members. You agree to use the Service in compliance with all applicable laws and regulations.

5. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Post false, misleading, or fraudulent information about your work history or qualifications
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Harvest, scrape, or collect user data without authorization
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any systems or networks
  • Use automated systems (bots, scrapers, etc.) to access the Service without our express permission
  • Upload malicious code, viruses, or any other harmful technology
  • Harass, abuse, or harm other users or Worktrail personnel
  • Use the Service to send spam or unsolicited communications

6. User-Generated Content

Ownership: You retain full ownership of all content you create on Worktrail, including diary entries, accomplishments, stories, goals, and profile information (collectively, “User Content”). Worktrail does not claim ownership of your User Content.

License: By submitting User Content, you grant Worktrail a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content solely for the purpose of operating and providing the Service. This license ends when you delete your User Content or account, except where your content has been shared with others who have not deleted it.

Responsibility: You are solely responsible for your User Content. You represent that you have all necessary rights to post your content and that it does not violate any third party's intellectual property, privacy, or other rights.

7. Employer and Recruiter Access

Worktrail enables employers, hiring managers, and recruiters to discover candidates through our platform and MCP (Model Context Protocol) server integration. This access is subject to the following conditions:

  • User Control: Employers can only view profiles that users have explicitly set to “visible” (anonymous or full visibility). Hidden profiles are never accessible to recruiters.
  • Verified Information: Manager-verified skills and accomplishments provide recruiters with validated credentials, but only when the user has opted in to visibility.
  • No Unauthorized Access: Employers and recruiters may not attempt to access profiles set to hidden, circumvent visibility controls, or use the information obtained for purposes other than legitimate recruitment.

8. Team and Organization Features

If you join an organization or team on Worktrail, additional terms may apply:

  • Managers within your organization may set objectives for you and view your submissions related to those objectives
  • When a manager marks an objective as achieved, the associated skill may be added to your verified skills visible on your candidate profile
  • Organization administrators have access to team member lists and activity relevant to organizational objectives
  • Your personal diary entries remain private unless you specifically link them as evidence to an organizational objective

9. Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is owned by Worktrail and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

10. Account Suspension and Termination

By You: You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will cease immediately.

By Worktrail: We reserve the right to suspend or terminate your account, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Conduct harmful to other users or the Service
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

Upon termination, we may delete your account and User Content. We will make reasonable efforts to allow you to export your data before deletion when termination is initiated by us for non-harmful reasons.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WORKTRAIL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or servers are free of viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKTRAIL AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability exceed the amount you paid us, if any, in the twelve (12) months prior to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Worktrail and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party right, including intellectual property or privacy rights; or (d) any claim that your User Content caused damage to a third party.

14. Governing Law

These Terms shall be governed by and construed in accordance with generally accepted principles of international commercial law, without regard to any single jurisdiction's conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration conducted under internationally recognised arbitration rules, and the parties consent to the jurisdiction of the arbitral tribunal wherever constituted.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

We encourage you to review these Terms periodically. The “Effective Date” at the top indicates when the Terms were last updated.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.
